Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website yourchatbot.in, the embeddable chat widget, APIs, and all related services (collectively, the "Service") operated by Exact Match, a sole proprietorship based in India ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.

1. Definitions

"Account" means the user account you create to access the Service.
"Organisation" means the workspace associated with your Account, under which team members, bots, documents, and billing are managed.
"Bot" means an AI-powered chatbot created by you using the Service.
"End User" means any person who interacts with your Bot via the embeddable widget or shared link.
"Content" means any data, text, files, documents, URLs, Q&A pairs, or other material you upload, submit, or make available through the Service.
"Plan" means the subscription tier (Free, Starter, Pro, or Enterprise) that determines your usage limits and features.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an Account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Account Registration and Security

You must provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your login credentials and API keys.
You are fully responsible for all activities that occur under your Account.
You must notify us immediately at support@exactmatch.site if you suspect any unauthorised access to your Account.
We reserve the right to suspend or terminate Accounts that violate these Terms or remain inactive for an extended period.

4. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

You agree not to:

Use the Service for any unlawful, fraudulent, or harmful purpose.
Upload Content that is illegal, defamatory, obscene, harassing, hateful, or that infringes the intellectual property or privacy rights of any third party.
Attempt to gain unauthorised access to the Service, other Accounts, or our systems.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
Use the Service to build a competing product or service.
Circumvent or manipulate usage limits, billing, or access controls.
Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs.
Resell, sublicence, or redistribute the Service without prior written consent.
Transmit viruses, malware, or any code of a destructive nature.

5. Content and Data

5.1 Your Content

You retain all ownership rights to the Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive licence to process, store, embed, index, and use your Content solely for the purpose of providing and improving the Service to you.

5.2 Responsibility for Content

You are solely responsible for the accuracy, quality, integrity, and legality of your Content. You represent and warrant that you have all necessary rights and permissions to upload and use the Content with the Service, including any third-party intellectual property rights.

5.3 AI-Generated Responses

The Service uses artificial intelligence and large language models to generate responses based on your Content. AI-generated responses may occasionally be inaccurate, incomplete, or misleading. We do not guarantee the accuracy, reliability, or suitability of AI-generated responses. You are responsible for reviewing and verifying all responses before relying on them.

5.4 Data Processing

Your Content may be processed by third-party AI providers (such as OpenAI) to generate embeddings and responses. We do not sell your data. For details on how we handle personal data, please refer to our Privacy Policy.

6. Plans, Billing, and Payments

The Service offers both free and paid Plans. Features and usage limits vary by Plan.
Paid Plans are billed on a monthly or annual basis via our payment processor (Stripe). All amounts are in the currency displayed at checkout.
Payments are due in advance at the start of each billing cycle. Failure to pay may result in downgrade or suspension of your Account.
You may upgrade, downgrade, or cancel your Plan at any time from your Account dashboard.
Refund Policy: Payments for subscription periods already started are non-refundable unless required by applicable law. If you cancel a paid Plan, you will continue to have access until the end of the current billing period.
We reserve the right to change pricing with at least 30 days' prior notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.
All applicable taxes (including GST as per Indian tax law) shall be borne by you in addition to the subscription fee, unless stated otherwise.

7. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Exact Match and is protected by Indian and international intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service except for the limited licence to use it as described herein.
The name "YourChatBot", the logo, and all associated trademarks are the property of Exact Match.
Feedback, suggestions, or ideas you submit about the Service may be used by us without any obligation to you.

8. Third-Party Services

The Service integrates with or relies upon third-party services including, but not limited to, OpenAI (for AI models), Stripe (for payments), and Amazon Web Services (for hosting and storage). Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

9. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation.
We may perform scheduled maintenance with reasonable advance notice where possible.
Support is provided via email at support@exactmatch.site. Response times may vary based on your Plan.

10. Suspension and Termination

You may terminate your Account at any time by contacting us or using the Account settings.
We may suspend or terminate your Account immediately, without prior notice, if you violate these Terms, engage in abusive or illegal activity, or fail to pay for a paid Plan.
Upon termination, your right to use the Service ceases immediately. We may delete your Content and data within 30 days of termination.
You may request export of your data prior to Account deletion by contacting us at support@exactmatch.site.
Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service (including AI-generated responses) will be accurate or reliable; or (d) any defects in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXACT MATCH, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000 (INDIAN RUPEES TEN THOUSAND), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Exact Match, its owners, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any interaction between your Bot and End Users.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved amicably through good-faith negotiation within 30 days of written notice. If the dispute is not resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

16. Miscellaneous

Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Exact Match regarding the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
Notices: All legal notices to us should be sent to support@exactmatch.site. Notices to you will be sent to the email address associated with your Account.
